Wholesale Terms & Conditions

Please read these terms and conditions carefully, as they explain the legal rights and obligations of you and Mama Koala in relation to the products that we sell.

Sales Platform:
Our products are allowed to be sold on websites, in stores, and on some third-party platforms. Selling via Amazon is prohibited.

Intellectual Property:
All designs and images created by Mama Koala are our copyrighted material and remain our intellectual property at all times. By becoming a retailer, we are granting you a license to sell Mama Koala’s products and use our promotional imagery in your own marketing. Copyright and all rights therein are retained by Mama Koala, including our products, designs, photographs, branding or other material, during the wholesale relationship. Any attempt to use our intellectual property in a manner outside of, or inconsistent with, these terms and conditions may result in suspension or cancellation of your wholesale account. Further action may also be taken for copyright or any other relevant intellectual property infringement.

Colors & Print:
Whilst every effort has been made to ensure our products are displayed accurately on screen, some computer monitors may display colors incorrectly. The artwork and print size may also vary slightly from the colors and print displayed on your monitor.

Privacy Policy:
Guarding the privacy and safety of your data is very important to us. We will never transfer your information to third parties in exchange for revenue. We will be respectful of all information provided to us.

Typographical Errors:
In the event a wholesale site product is listed at an incorrect price due to typographical error or system error, Mama Koala shall have the right to refuse or cancel any orders placed for product listed at the incorrect price.

Minimum Order Quantity:
The MOQ is $1000.

All prices are listed in US dollars.
Suggested retail price: Please sell our products at a price that is at least 40% higher than our wholesale price.
Permission for special sale events lower than the SRP must be requested in writing to the Mama Koala Wholesale Team.

Payment Terms:
We prefer to accept PayPal as our main payment method. Bank transfers are only accepted for special situations.
30% deposit will be charged when you place the order. We will contact you to pay the final payment around 2 weeks ahead of the shipment. We require you to complete the payment on time. If the payment is late 2 consecutive times, we reserve the right to ask for the full payment on your next pre-order.
If you fail to make the final payment on time, you will not be allowed to participate in any pre-orders until it is completed.
If the final payment has not been made within 4 weeks from the date of notification, all products will belong to Mama Koala and the deposit will be kept as a penalty. If it contains part of a pre-sale, Mama Koala will issue a statement informing the customers to contact you or the bank to apply for a refund. Mama Koala reserves the right to resell the products to other retailers, including the exclusive prints. The contract between you and Mama Koala will be terminated automatically.

Shipping estimates are from day of shipping, not from day of ordering. Shipping and tax costs are determined at the time of shipping.
For the United States, we offer 2 options on the shipping:
First, ship by sea, which will take around 5-7 weeks to arrive. Mama Koala will cover the cost for the shipping and tax.
Second, ship by air, which will take around 2-4 weeks to arrive. Mama Koala will cover half of the cost for the shipping and tax.
For other countries and regions: shipping cost and local taxes or any customs fees for orders will be paid by the retailers.
We will match optimal logistics based on your location. We will be solely responsible for the problems caused by the logistics arranged by us.
Products will be shipped out from China. If you want to arrange the shipment by yourself, we can ship the products to your designated address. Please note that Mama Koala is not responsible for the problems caused by the designated logistics.
Logistics delays caused by force majeure or any other special reason, applications for compensation/refunds are not accepted.

Shipping Errors/Damaged Goods:
Please notify us of any shipping errors, damaged products, or products lost within 7 working days of receipt of the shipment.
If it happens due to the error of the logistics company designated by Mama Koala, Mama Koala will reproduce all the lost products and ship to you as soon as possible. For packaging errors/ damaged goods, a photo or video will be needed to clarify for a refund.

Pre-sale Fulfillment:
Once products are mailed to retailers, retailers are responsible for fulfilling all customers’ orders.
Mama Koala will not intervene in your fulfilling method or speed, as long as it is within the time frame promised to the customers. Any complaints about your fulfillment, concerns, or questions will be redirected to you during this time frame.
If the retailer fails to deliver the goods on time and does not give the customers an acceptable reason, or if you make the customers panic and complain to Mama Koala, Mama Koala will encourage the customers to apply for a refund from their bank or PayPal. For the payments that cannot be recovered, Mama Koala will refund the customers on behalf of the retailers.
Mama Koala reserves the right to get the money back from the retailers by law.

Refund Policy:
Once an order is placed, we will not accept any modifications or cancellations.
The deposit will be kept as penalty if the order is abandoned.

After-Sales Customer Service:
Mama Koala has an excellent Customer Service Management Team based in US that provides above standard after-sales support services to the customers all over the world.

We offer a one year warranty that begins on the customer’s purchase date, we will ensure customer satisfaction. Please let your customers contact Mama Koala directly if they have any questions regarding the quality of our products.

Your shop name, address and website will be added to the stockists list on our website. We do regular social media posts and sharing to support our retailers. Please feel free to contact us if you have any publicity needs.

Suspension Or Cancellation of Wholesale Account:
Mama Koala reserves the right to suspend or cancel your wholesale account under the following circumstances:
1. No orders have been placed for 6 consecutive months.
2. You have failed to advise us of a change in your selling practices, locations, or any other material factors relevant to our wholesale approval process.
3. You have engaged in improper or prohibited trading practices including but not limited to: selling Mama Koala’s products from an unapproved outlet. Using Mama Koala’s images, logos or any other intellectual property in a manner inconsistent with our Terms and Conditions and rights as intellectual property holders.
4. You have failed to complete the final payment on time more than once or cancel the order and get the deposit back.
5. You have destroyed our, or any of our retailer’s reputations by spreading false or improper information.
6. You have failed to complete your pre-sales’ fulfillment in a reasonable time frame.
7. Conflict between retailer and customers who purchased Mama Koala product reach an elevated level and you fail to solve issues, or refuse to communicate with customers to make proper compensation.
8. You promote product other than Mama Koala Brand within either of our Mama Koala Addicts or Official BST group.
9. You refuse to communicate with Mama Koala in regards to customer’s concerns or complaints.
10. Contravention of any part of our Wholesale Terms and conditions, or any other circumstance that has occurred that rendered your unfit, or inappropriate by Mama Koala to be an authorized seller representing our brand.
If your account is being canceled, Mama Koala reserves the right to deal with your products that are not sent out, even if you have paid for them, including your exclusive products.
Under normal circumstances, such as termination of the contract without any dispute, or before the process of reinstatement, the retailer pays all money owed to Mama Koala, suspension can be reinstated and considered as an existing retailer.

*Mama Koala reserves the right to define “Elevated Level”.
Mama Koala reserves the right to define the term of suspension or cancellation.

Placing an order confirms your acceptance of these terms and conditions, and your agreement to be bound by them. We may at any time revise these terms and conditions by updating this posting.
